Terms of Service

1. Acceptance of These Terms

By creating an account, subscribing, connecting a wallet, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. You may not use the Service if you are located in, or are a resident or citizen of, any jurisdiction where use of the Service or trading of cryptocurrency perpetual futures is prohibited or restricted, or where doing so would violate any applicable law or sanctions. You are solely responsible for determining whether your use of the Service is lawful in your jurisdiction.

Restricted Jurisdictions

Access restricted. You are accessing our products and services from a restricted jurisdiction. We do not allow access from certain jurisdictions including locations subject to sanctions restrictions and other jurisdictions where our services are ineligible for use. For more information, see our Terms of Use. We reserve the right to block, restrict, or terminate access from any jurisdiction at our sole discretion, including via IP-based geolocation. 3. Description of the Service — Non-Custodial

SGACRYPTO provides automated trading signals and optional auto-execution for Hyperliquid perpetual futures. The Service is fully non-custodial. We never take custody of your funds, never hold your private keys, and never have the ability to withdraw or transfer your assets. You connect your own wallet and grant a revocable trading agent permission to place orders on your behalf. You may revoke that agent at any time directly on-chain, which immediately ends our ability to act on your wallet. All trading activity occurs in your own account on Hyperliquid.

4. No Investment Advice

SGACRYPTO is not a broker-dealer, investment adviser, financial planner, or fiduciary, and nothing we provide is investment, financial, legal, tax, or trading advice. Signals, strategies, performance figures, and any other content are provided for informational purposes only and are not a recommendation, solicitation, or offer to buy or sell any asset. You are solely responsible for your own trading decisions and should consult your own licensed advisers before trading. Past performance is not indicative of future results.

5. High Risk — You Assume All Risk

Trading cryptocurrency perpetual futures is extremely high risk and can result in the rapid and total loss of your capital, including losses caused by leverage and liquidation. Markets are volatile, and automated systems can fail, lag, or behave unexpectedly due to network outages, exchange downtime, smart-contract issues, latency, or errors in signals or execution. By using the Service, you acknowledge and accept that you assume all risk of loss, that you trade only with capital you can afford to lose, and that SGACRYPTO does not guarantee any profit, outcome, or level of performance.

6. Subscriptions, Billing & Cancellation

The Service is offered on a month-to-month subscription basis. Card subscriptions are billed in advance through Stripe and renew automatically each billing period until cancelled. You may cancel at any time from your account; cancellation stops future renewals and your access continues until the end of the current paid period.

Except where required by applicable law, fees are non-refundable and we do not provide refunds or credits for partial billing periods, unused time, or downgrades. Cryptocurrency payments, where offered, are confirmed manually; your subscription becomes active only once we confirm the payment on-chain, and on-chain payments may be non-reversible.

7. Acceptable Use

You agree not to misuse the Service. In particular, you will not: (a) use the Service for any unlawful purpose or in violation of any sanctions or applicable law; (b) attempt to gain unauthorized access to the Service, other accounts, or our systems; (c) interfere with, disrupt, overload, or reverse-engineer the Service; (d) resell, redistribute, or sublicense the Service or its signals without our written permission; or (e) use the Service to engage in market manipulation or other abusive trading practices.

8. Intellectual Property

The Service, including its software, strategies, signals, branding, and content, is owned by SGACRYPTO and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own personal, non-commercial purposes while your subscription is active. All rights not expressly granted are reserved.

9. Disclaimers — “As Is”

The Service is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation. We do not warrant that the Service, signals, or any results will meet your expectations or be profitable.

10. Limitation of Liability

To the maximum extent permitted by law, SGACRYPTO and its affiliates, officers, and personnel will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or trading losses, arising out of or relating to the Service. Our total aggregate liability for all claims relating to the Service is limited to the amount of subscription fees you actually paid to us in the three (3) months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless SGACRYPTO and its affiliates and personnel from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your trading activity, your violation of these Terms, or your violation of any law or the rights of a third party.

12. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms, created risk or legal exposure, or if we discontinue the Service. Upon termination, your license to use the Service ends; sections that by their nature should survive (including disclaimers, limitations of liability, and indemnification) will survive.

13. Governing Law

These Terms are governed by the laws of the jurisdiction in which SGACRYPTO is established, without regard to its conflict-of-laws rules. You agree to submit to the exclusive jurisdiction of the courts located in that jurisdiction for any dispute arising out of or relating to these Terms or the Service, except where applicable law grants you the right to bring a claim elsewhere.

14. Changes to These Terms

We may modify these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
